TERMS OF SERVICE FOR VAAP

1. ACCEPTANCE OF TERMS AND RELATIONSHIP

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and [VAAP Legal Entity / Varied Ware] ("Company", "we", "us", or "our") governing your access to and use of the VAAP mobile application, software, websites, tools, and services (collectively, the "Platform" or "Services").

By downloading, installing, accessing, or using VAAP, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not accept all of these Terms, you are prohibited from using the Platform and must immediately uninstall the application.

2. ELIGIBILITY AND AGE REQUIREMENTS

By using VAAP, you represent and warrant that:

• You are at least 12 years of age, or the statutory age of majority in your jurisdiction, whichever is higher.
• If you are under the legal age of majority, your parent or legal guardian has reviewed and accepted these Terms on your behalf.
• You are not restricted from using the Platform under any applicable laws, regulations, or legal sanctions.

3. SCOPE OF SERVICES & FEATURE DESCRIPTIONS

VAAP provides multimedia playback and processing tools, including but not limited to:

• Local Audio & Video Player: Scanning, organizing, and playing local audio and video files stored on your device.
• Web Video & Audio Downloader: Parsing public web pages to fetch and download user-designated video and audio files directly to device storage for offline viewing.
• Camera & Microphone Recording: Enabling users to capture video and record audio directly through their device hardware.
• Media Management & Editing Tools: File organization, playlist generation, tag editing, and local media processing.

4. INTELLECTUAL PROPERTY RIGHTS & CONTENT POLICIES

A. Ownership of Platform Materials

The Platform, including all underlying source code, user interfaces, designs, graphics, branding, trademarks, logos, and proprietary software ("Platform Materials"), is owned exclusively by the Company or its licensors. You obtain no ownership rights in the Platform Materials other than the limited license granted herein.

B. Ownership and Responsibility for User Content & Downloads

• Tool-Only Disclaimer: VAAP is a utility software tool. We do not host, store, stream, publish, control, or own any third-party media content accessible, streamed, or downloaded through the Platform.
• User Warranty on Downloaded & Recorded Content: You retain sole legal responsibility for all content played, recorded via camera/microphone, or downloaded using VAAP. You explicitly warrant that you possess all necessary copyrights, authorizations, or licenses for any media you download, record, convert, or play back.
• Third-Party Website Compliance: You agree to comply with the terms of service, copyright rules, and robot regulations of any third-party website or platform from which you download content using VAAP.
• Prohibition of Infringement: You are strictly prohibited from using VAAP to download, copy, record, or distribute copyrighted content without explicit authorization from the legitimate copyright holder.

C. Copyright Infringement & DMCA Takedown Notice

We respect third-party intellectual property rights. If you believe that your copyrighted work is accessible or being misused via our Platform, please send a formal DMCA Notice to [support@vaap.app] containing:

• A physical or electronic signature of the copyright owner or authorized representative.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the specific URL or location within the Platform.
• Your contact details (address, telephone number, and email).
• A statement of good-faith belief that the disputed use is unauthorized.
• A statement under penalty of perjury that the information in the notification is accurate.

5. USER LICENSE AND USAGE RESTRICTIONS

Subject to your compliance with these Terms, we grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use VAAP on compatible devices for non-commercial purposes.

You agree that you shall NOT attempt to:

• Modify, adapt, translate, reverse engineer, decompile, disassemble, or derive source code from VAAP.
• Use automated scripts, bots, scrapers, or tools to manipulate or overload the Platform.
• Rent, sell, lease, sublicense, distribute, or commercially exploit any part of VAAP.
• Bypass, disable, or tamper with security features, DRM protections, or access restrictions within the application.
• Use the camera, microphone, or download features to capture, harvest, or distribute unlawful, defamatory, harassing, sexually explicit, violent, or unauthorized privacy-violating material.
• Interfere with or attempt to disrupt the operation of the Platform or connected servers.

6. REGIONAL RESTRICTIONS & LEGAL COMPLIANCE

VAAP is designed as a media playback utility. Our Services are not intended for use in jurisdictions where downloading or accessing specific online content violates local copyright laws or telecommunications regulations. You are solely responsible for ensuring that your use of VAAP complies with all local laws and regulations in your jurisdiction. You agree not to use technical mechanisms (e.g., proxies or VPNs) to bypass geographic restrictions in violation of local laws.

7. ADVERTISEMENTS & PREMIUM SUBSCRIPTIONS

• Advertising: Free versions of VAAP display third-party advertisements. We are not responsible for the content, offers, or privacy practices of third-party advertisers.
• Premium Services: Premium subscriptions (such as ad-free access) are billed periodically in advance via Google Play Billing. Subscriptions auto-renew unless cancelled at least 24 hours prior to the end of the billing cycle in your Google Play settings. Refunds are handled in accordance with Google Play Store policies.

8. DISCLAIMER OF WARRANTIES

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT VAAP WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF VIRUSES, OR THAT DOWNLOADS FROM THIRD-PARTY WEBSITES WILL BE CONTINUOUSLY SUPPORTED OR COMPATIBLE.

9. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, GOODWILL, DEVICE DAMAGE, OR COPYRIGHT CLAIMS ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING YOUR RECORDED OR DOWNLOADED MEDIA FILES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS LESS.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or legal fees resulting from:

• Your use of or activities on the Platform.
• Your violation of any provision of these Terms.
• Your infringement of third-party intellectual property, privacy, or proprietary rights resulting from downloaded or recorded audio/video files.

11. TERMINATION & MODIFICATION OF SERVICES

We reserve the right, in our sole discretion, to modify, suspend, or discontinue any feature of VAAP (including downloader site compatibility) at any time without notice. We may terminate or suspend your license to use the app immediately if you breach these Terms.

12. GOVERNING LAW AND ARBITRATION

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of Singapore (or Hong Kong), without giving effect to conflict of law principles.
• Binding Arbitration: Any dispute or claim arising out of these Terms shall be referred to and finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The arbitration shall be conducted in English by a single arbitrator.
• Class Action Waiver: You agree that any legal proceedings shall be conducted solely on an individual basis and not as a plaintiff or class member in any class, collective, or representative proceeding.

13. SEVERABILITY & ENTIRE AGREEMENT

These Terms, along with the Privacy Policy, constitute the entire agreement between you and the Company. If any provision is held invalid or unenforceable, that provision shall be severed, and the remaining terms will remain in full force and effect.
